This agreement is concluded on the terms below between Bomonti Muay Thai Spor Eğitim Danışmanlık ve Organizasyon Ticaret Limited Şirketi, whose registered office operates at Cumhuriyet Mahallesi Nehir Sokak Gündüz İş Merkezi No:3/2 Şişli/İstanbul (hereinafter “MT Studio”), and the member (hereinafter “Member”) of www.muaythaistudio.com (hereinafter “Site”).
After completing registration and providing all required membership information, the Member may use the Site subject to this agreement. Anyone concluding the agreement on behalf of a legal entity represents and undertakes that they are authorised to do so; otherwise, they are personally liable for all consequential transactions they have carried out or will carry out.
The Member accepts that, upon beginning to use the services, they are deemed to have accepted and undertaken all terms of this agreement, which are binding on them.
MT Studio reserves the right to amend the following conditions at its discretion when required by legislation or this agreement, provided it gives notice on the Site.
ARTICLE 1. Member's Rights and Obligations
1.1. MT Studio is a site available to all registered members. Services provided through the Site are free.
1.2. The Member agrees, represents and undertakes to comply with all terms of this agreement and the rules stated in the relevant sections of the Site.
1.3. When using the services, the Member agrees to comply with the Code of Obligations, Turkish Penal Code, Turkish Commercial Code, Law on Intellectual and Artistic Works, protection of trademark and patent rights, Personal Data Protection Law, related laws, decree-laws and other applicable legislation, and all notices MT Studio publishes concerning its services. The Member bears all legal, criminal and financial liability arising from use contrary to these laws and notices.
1.4. The Member shall compensate MT Studio in full for damage caused by breach of their obligations under this agreement. MT Studio may seek full recourse against the Member for compensation and administrative or judicial fines it must pay to public bodies and/or third parties because of the Member's breach.
1.5. The Member may not obstruct or hinder other members' or visitors' use of the Site, overload or lock servers or databases using automated programmes, or attempt to manipulate data. The Member accepts that such actions may result in termination of membership and that they bear all resulting legal and criminal liability.
1.6. Individuals are responsible for backing up correspondence with MT Studio, as MT Studio recommends. MT Studio is not liable for loss or deletion of correspondence where backups have not been made.
1.7. Records relating to accounts terminated by MT Studio or the Member may be retained by MT Studio subject to the conditions prescribed by the Personal Data Protection Law. MT Studio may also delete such records from the date membership ends. The Member may not claim rights or compensation regarding deleted records. The right to obtain information about personal data held by MT Studio is reserved.
1.8. The Member represents and undertakes that personal and other information provided during registration or shopping is accurate and current, and shall immediately compensate MT Studio in full for losses arising from inaccurate or outdated information.
1.9. The Member bears the risks associated with links to other websites provided on the Site for visitors' information and convenience.
1.10. Visual and written content on the Site is for personal use. All rights in text, graphics, photographs, videos, animations and audio are reserved. Unless otherwise stated, they may not be used for commercial or personal purposes without permission and attribution. Publishing or linking any element of the Site on another medium or website without MT Studio's permission is prohibited.
1.11. The Member may not use, resell, share, distribute, display, reproduce, adapt or create derivative works from MT Studio's copyrighted works on the Site in any manner. Otherwise, the Member is liable for all resulting damage to MT Studio.
1.12. Copying or using the software used to design the pages and create the database, all rights in which belong to MT Studio, is strictly prohibited.
1.13. The Member may not remove copyright, trademark or intellectual-property notices from material copied or printed from the Site.
ARTICLE 2. MT Studio's Rights and Obligations
2.1. In addition to its statutory rights, MT Studio may cancel transactions, suspend the Member's use, terminate membership and immediately terminate this agreement unilaterally in the following cases:
a) Registration of inaccurate, irregular, incomplete or misleading information, statements contrary to public morals, or information contrary to Turkish law.
b) Copying or attempting to use all or part of the Site's works or data.
c) Sharing usernames, passwords or usage rights, whether provided by MT Studio or chosen by the Member, with third parties. The Member is directly responsible for malicious use of their password by others. The Member may not use another person's IP address, email address, username or other information, or access or use other members' private information without permission. All resulting legal and criminal liability belongs to the Member.
d) Using software, conducting or attempting activities, or obtaining, deleting or modifying information in a manner that threatens the Site's security or prevents the Site or its software from operating.
e) MT Studio detecting misuse of its sales system or Site, including exploiting campaigns or technical or other vulnerabilities to cause damage, obtain an unfair benefit or engage in repeated abusive practices.
f) Acting contrary to this agreement, rules stated on the Site or applicable legislation while using the Site or shopping.
2.2. MT Studio shall comply with this agreement and the Personal Data Protection provisions, Privacy Notice on Personal Data Protection in Commercial Communications, Distance Sales Agreement and Privacy Policy on the Site. It must also retain Member information required by law.
2.3. MT Studio shall not use this data for commercial purposes unrelated to its activities. This provision does not prevent assignment of the agreement to third parties.
For the purposes stated above, the Site uses cookies: small data files stored on members' computers during visits. These industry-standard files, commonly used by shopping websites, aim to make shopping more efficient and secure. Members who do not wish to use them, or wish to be informed of their use, may change their browser settings at their own responsibility.
2.4. When paying by credit card for a product purchased through the Site, the Member understands that the card number, expiry date, CVV2 code and similar information must be shared with financial institutions to complete the transaction.
2.5. Subject to this agreement and applicable law, including the Personal Data Protection Law, MT Studio may use membership-related information for its marketing activities during or after the agreement, provided that the information is anonymised.
2.6. MT Studio undertakes to make the contracted services available except in the event of technical faults. Information the Member makes available shall not be shared with third parties except where necessary for the purposes stated above or required by law.
ARTICLE 3. Assignment, Scope, Duration and Entry into Force
3.1. The Member is deemed to undertake compliance with this agreement upon completing registration and confirming their email address, obtaining a service through the system, or placing an order. The agreement automatically ceases to have effect without notice when membership ends or any stated termination event occurs.
3.2. The Member accepts in advance that MT Studio may cancel membership and terminate this Membership Agreement when it considers necessary, provided it informs the Member of the reason.
3.3. The Member may cancel membership and delete their account by emailing team@muaythaistudio.com or calling +905336891859. A user who ends membership loses authorisation to use the Site as a Member.
3.4. MT Studio may amend this agreement unilaterally to ensure continuity of its services. Provided its ultimate purpose and the essential nature of its services remain the same, it may, at any time and without giving a reason, permanently or temporarily suspend services, or change or cancel their content, including published prices. Where necessary, MT Studio shall publish updated membership terms at the same link with an updated date and obtain the Member's approval upon their first subsequent account login. Updated terms take effect upon publication, and use of the Site and services is thereafter subject to them.
3.5. Particular sections of the Site may have specific rules and obligations. Members using those sections are deemed to have read and accepted the relevant rules.
3.6. The Member irrevocably agrees, declares and undertakes that MT Studio may assign this agreement to third parties and gives advance consent to assignment under Article 205 of the Code of Obligations.
4.1. The validity, interpretation and performance of this agreement are governed by the laws of the Republic of Türkiye. Istanbul Courts and Enforcement Offices have jurisdiction over disputes arising from it.
4.2. The most recent email address provided by the Member to MT Studio is deemed the legal address for all notices relating to this agreement.
4.3. Unless a party notifies the other of a change in email address within 3 (three) business days, notices sent to the previous address remain valid and are deemed served.
4.4. Notices sent to the Member's registered email address are deemed received 1 (one) business day after MT Studio sends them.
The Member declares, accepts and undertakes that they have read, understood and accepted every provision of this agreement and confirmed the accuracy of the information they provided.
